Fivespan Buys $12.2 Million in Stride Stock Following Board Agreement

Quiver Data Analyst

Stride ($LRN) disclosed approximately $12.18 million in stock purchases by a Fivespan Partners fund, following an agreement to add Fivespan founder Dylan Haggart to its board. The transactions appear to be Stride’s first reported insider purchases since November 2013, based on the transaction history reviewed.

  • The fund purchased 154,196 shares on October 23 and 26 at prices of $78.44–$79.84, according to an October 27 Form 4 jointly filed by Haggart and Fivespan.
  • The purchases increased reported indirect holdings by 8.8% to 1,898,911 shares. The shares are fund-held, rather than directly owned by Haggart.
  • Stride’s October 9 announcement outlined a cooperation agreement with Fivespan and plans to add Haggart and education executive Steven Guttentag to its board.
  • Haggart and independent director Brian Shepherd will co-chair a new capital-allocation committee.
  • Stride expects the committee’s initial review within three months of the announcement, followed by publication of a target capital structure and framework for allocating future cash flows.
